Goldbug 100 - TOMKINS (TOMK.L) - Canadian offer for company undervalues it

On Bloomberg ticker today - that Tomkins (TOM:L) was considerably undervalued

It would appear that the directors have everything to gain and the shareholders everything to loose. Before the rise in the share price on new of the offer one broker said that it was undervalued by two thirds (c225p)

"We see this as an asset backed business, with a strong balance sheet, and excellent turnover and profit visibility," it told clients in a note this morning. "The stock offers a 6.0% dividend yield and is trading at a 16% discount to our March 2011E NAV." Tomkins (LSE: TOMK.L - news) , the maker of systems and components for the industrial and automotive markets, could be worth up to two-thirds more than its current market price in Nomura's best-case scenario."

We trust that the directors will abstain from voting on the takeover over as with respect their appears to be a conflict of interest. Read below and if a shareholder vote against if you consider that the bid is undervalued - If so perhaps there should be a change at the top?

The board of Tomkins (LSE: TOMK.L - news) issued a statement yesterday which highlighted the company's exposure to cyclical US consumer markets.

It seems to me that we're probably at, or near, the bottom of that cycle. Indeed Tomkins helpfully pointed out the likelihood of further economic uncertainty hitting the company. Against that backdrop David Newlands, chairman, is recommending shareholders accept an offer from Onex (OCX.TO - news) , a private equity fund, and sell. But against that backdrop, given Tomkins' quality and potential, why not hold on for recovery and reap the benefits that Onex is quite obviously keen to enjoy.

The market has undervalued Tomkins but shareholders should thank Onex for highlighting this and insist suitably incentivised management get on and realise that value not pass it on at a bargain.

LONDON (Reuters) - Tomkins Plc , the British maker of car parts, industrial hoses and bath tubs, backed a 2.9 billion pound takeover offer from Canadian investors that would be the year's largest leveraged buyout.

Tomkins (LSE: TOMK.L - news) said a trio of investors owning more than 9 percent had also formally backed the $4.5 billion offer from Onex (OCX.TO - news) , Canada's largest private equity firm, and the C$127 billion (78.8 billion pound) Canada Pension Plan, the country's second-biggest pension fund.

But the board's recommendation, eight days after Tomkins revealed takeover talks, sparked anger from 2.97 percent shareholder Standard Life Investments, which had already urged investors to reject the approach as too cheap.

SLI Head of UK Equities David Cumming said the deal's pay and bonus agreements gave management "massive incentives" to "deliver returns to private equity rather than to current shareholders." A share scheme could allow Tomkins managers to own up to 15 percent of the new company.

Tomkins Chairman David Newlands said despite the opposition of SLI (SLIXQ.PK - news) and a "very small institutional shareholder," he expected wide backing for the deal, which is structured as a scheme of arrangement that requires 75 percent backing.

"The feeling I get from the rest of the shareholders is that we will get a substantial amount of backing," Newlands, told Reuters in a telephone interview, adding that he was first approached by Onex about a deal in late March.

Another top-ten shareholder told Reuters the offer was a reasonable price for a "bog-standard manufacturer" whose Chief Executive, Jim Nicol, had already wrung out possible cost cuts. "It feels fair and it might be more than fair if the economic environment gets worse," this investor said.

Tomkins shares leapt nearly 5.3 percent to trade at their highest since May 2006, and just below the 325 pence-a-share offer price.

The deal would be 2010's largest buyout globally, according to Thomson Reuters (TRI.TO - news) data, and the largest in Europe since Terra Firma bought EMI Group (LSE: EMI.L - news) in May 2007 for $6 billion.

It could also mark the end of what was once one of Britain's biggest industrial groups, dubbed the "buns to guns" conglomerate in its 1990s heyday because it owned both food group Rank Hovis McDougall and .357 Magnum (3735.KL - news) maker Smith & Wesson.

In a string of other deals, North American buyers have snapped up UK engineers, lured by reasonable valuations, strong market positions, a weaker pound, and the relative ease of buying into Britain.

Collins Stewart (LSE: CLST.L - news) analyst Mark Wilson said the bid did not reflect "any kind of premium for the fair value" of Tomkins but was likely to succeed barring a "very unlikely" counterbid.

Wilson (Oslo: WILS.OL - news) said the offer places an enterprise value (EV) of 12 times estimated 2010 earnings before interest and tax (EBIT), against a UK capital-goods average of 13 times, and the buyers could enjoy a 20 percent internal rate of return (IRR).

NEGATIVE FORECAST

Tomkins said Pinafore -- Onex and CPP's acquisition vehicle -- had received irrevocable undertakings from Schroders (LSE: SDR.L - news) and JP Morgan Asset Management to vote in favour of the deal. Arrowgrass, a hedge fund spun out of Deutsche Bank (Xetra: 514000 - news) , also intends to use its 0.28 percent position to back the deal.

Tomkins said the recommendation reflected its negative forecast for the company's second-half performance and that its shares were trading at 230 pence before news of the approach.
"If you look at the economic indicators, it's unlikely the second half will be as a strong as the first," Newlands said.

Asked if Onex and CPP were likely to break up Tomkins, whose stable of companies includes Gates, the U.S. maker of belts and hoses for cars and machines, Newlands said the consortium were very supportive of the firm's management team.

Onex and CPP will contribute $1.1 billion each of equity funding and have raised $3 billion of debt finance from Bank of America Merrill Lynch, Citigroup (NYSE: C - news) , Barclays Capital, RBC (RBCI.PK - news) and UBS (Virt-X: UBSN.VX - news) . Tomkins had net debt of about $260 million on July 3.

JPMorgan Cazenove advised Tomkins, while Citi advised the bidders.

Goldbug 100 New Holding - Chimera (NYSE CIM) $3.89


The fund with the non payment of dividends from BP due to the oil spill was looking for a high income stock and came across Chimera last week, together with 9 other US REIT companies that all yielded over 10%.  We signed up with the company to receive news from the company and were most impressed by the response this arriving yesterday - Company Release - 08/02/2010 16:05

Q2 - NEW YORK--(BUSINESS WIRE)-- Chimera Investment Corporation (NYSE: CIM) today reported Core Earnings for the quarter ended June 30, 2010, of $142.8 million or $0.19 per average share as compared to Core Earnings for the quarter ended June 30, 2009, of $48.9 million or $0.10 per average share and Core Earnings for the quarter ended March 31, 2010, of $127.9 million or $0.19 per average share.................

The fund had thought of setting a limit of $3.82 but noting the strength the day before decided not to set a limit. You really can never purchase at the bottom and the plan should the share price move lower would be to average out over the next year. Yahoo´s 1 year Target Est: $4.38

The fund had made the mistake in 2008 of investing in Pink Sheet shares on which is is now showing losses on all except Superclick Inc (SPCK.OB). This one it had picked itself the remainder on the suggestion of an analyst who produced a very convincing argument for example to purchase NCTW.PK / PBOF.OB / UITA.PK / VSPC.OB. The fund thought medical stocks would be a good bet in 2008 and went for ADOV.PK & AIDA.PK but they have not performed as hoped. By going for income shares now in the US we may try and "average out" at a later date in these Pink Sheet stocks with the dividends so that we are not involved in currency exchange.

Just spreading the word about a scam email I received. See the Bloptimization blog for an explanation and don’t be taken in. Here’s how it started:

I emailed them back, confirming ownership of mppllc.com and received this reply:

As you can probably guess, the “Domain name&Internet brand keyword Disputed Applicication form” is not a dispute form at all, but an order form, with exorbitant rates to register domains. Here’s the price list:

A BBC documentary has investigated the increasing problem of counterfeit medicines in the UK and even discovers fakes making their way into the NHS supply chain.
In Fake Medicines, part of the BBC's Fake Britain series, presenter Dominic Littlewood investigates just how easy it is to buy prescription-only medicines over the internet and looks at the often devastating effects that counterfeit medicines can bring.

Purchasing prescription-only medicines online

During the programme, Littlewood uses an online 'pharmacy' website to purchase a selection of prescription only medicines. He opts for Plavix, used to protect against heart attacks and strokes; Clomid, a potent fertility drug; Atorvastin, a generic version of cholesterol-lowering Lipitor; flu vaccine, Tamiflu; Reductil, a weight loss therapy; Propecia, for the treatment of hair loss in men and the erectile dysfunction treatment, Viagra.

After a few weeks various packages arrive. Shockingly, the Plavix comes with a free sample of Viagra – a combination that could be fatal in patients with a heart condition.

The drugs are taken to the London School of Pharmacy where they are analysed by Professor Tony Moffat. A chemical analysis shows the Viagra to be fake, but the Tamiflu, Reductil and Propecia are found to be real.

These prescription-only medicines have the potential to cause serious damage and could even be fatal if taken without medical supervision. The hair loss treatment, Propecia, for example, can cause infertility if handled by women.

The generic version of Lipitor, which should not be on the market as the drug is still under patent, is taken to manufacturer Pfizer for investigation. The tablets bought over the internet are found to contain far less of the active ingredient than the real product.

Lipitor works by lowering cholesterol levels, thereby reducing the risk of events such as a heart attack. If a patient is not receiving the full dose of the active ingredient, they are not receiving the protection they need.

Far more profitable than heroinTalking about the increasing global counterfeit medicine market, Heidi Wright from the Royal Pharmaceutical Society explains that $1,000 invested in ingredients to produce heroin results in a profit of $3,000 – a 200 per cent profit margin, whereas $1,000 invested in ingredients to produce fake prescription drugs results in a profit of $30,000, or 2,000 per cent.

During the programme, viewers are shown footage of tatty, disorganised and non-sterile premises in South America where some of these counterfeit medicines are produced. We even see containers of boric acid (used as an insecticide) being used in the production process.

These backroom 'factories'’ paint a very different picture to the 'shop front' websites with images of clinicians in white coats giving innocent users the impression of a professional, legitimate company.
"If consumers and patients and the public saw the back rooms, it is unlikely they would visit the front room," says Jim Thomson from European Alliance for Access to Safe Medicines (EAASM).

How are counterfeit medicines finding their way into the NHS supply chain?

Counterfeiting of prescription medicines is now so sophisticated that healthcare professionals and being fooled. Since 2004, there have been ten serious recalls of counterfeit medicines that have made their way into the NHS.

In June 2007, the Medicines and Healthcare products Regulatory Agency (MHRA) issued three recalls within days. The fake drugs in question were Zyprexa, used to treat the symptoms of schizophrenia, Cosodex, for prostate cancer, and Plavix, for stroke and heart conditions.

The MHRA seized around 40,000 packages of the drugs but estimates that there are still around 30,000 unaccounted for – some of which Phil Cottrell, security directory for sanofi-aventis (manufacturer of Plavix), believes will have been taken innocently by NHS patients.

Littlewood also meets Angela Allinson from Preston, whose eight-year-old daughter has type 1 diabetes and must inject insulin four times a day. Ms Allinson was shocked to discover she had been injecting her daughter with fake needles, supplied to her on the NHS, for two weeks.

"It never even crossed my mind that someone would counterfeit needles," says Ms Allinson.
In the UK, pharmacists and wholesalers aim to get the best price for medicine. It is perfectly legal for them to buy products from elsewhere in Europe, providing the drugs are repackaged and contain the patient information leaflet in English. This means that drugs could potentially be re-packed and exchanged several times across Europe before reaching the UK market.

Heidi Wright explains: "The NHS supply chain is actually quite complicated, so this makes it slightly easier for counterfeiters to infiltrate the medicines supply chain."

She goes on to explain that there is no definitive audit trail for medicines in the UK. In some European companies, it is a requirement that batch numbers are recorded on the way in and out of the country. This is not required in the UK for drugs for human use, but is a requirement for veterinary medicines.
Pharmacist Zafar Khan tells the programme he is very worried about the current counterfeit situation and would like to see an international clampdown. "These medicines can kill," he says.
